About the role and team:

Wex is seeking a Legal Counsel to support Marketing, Branding & Intellectual Property (IP) reporting to the Vice President of Global Corporate Legal Services. This role will provide legal support to WEX’s global Marketing and Product teams. Specifically, this role will provide strategic and tactical legal support and guidance to ensure that our marketing, branding and product content and campaigns are created and conducted in compliance with applicable laws, rules and regulations. In addition, the ideal candidate will oversee and manage WEX’s IP portfolio in order to ensure the portfolio and assets are protected and managed properly, in compliance with relevant laws, rules and regulations, and in support of WEX’s innovative marketing and product development efforts. To be most successful, WEX is seeking a candidate with a strong technology background, understanding of the legal and practical components of marketing, branding and related IP considerations, and confidence in solving complex, time-sensitive problems in close partnership with a variety of cross-functional stakeholders.

Our corporate headquarters is located in Portland, Maine. We will need this role to work Hybrid with the ability to come into the office.

How you'll make an impact:

  • Develop and maintain a clear understanding of WEX’s products, services and competitive landscape to be able to provide legal support and guidance (both proactive and reactive) to WEX’s global Marketing and Product teams.

  • Review and advise on marketing and branding content and materials to ensure internal consistency and compliance with applicable laws, rules and regulations and industry best practices.

  • Advise on legal issues related to all forms of marketing (including social media marketing, email marketing, and online marketing) and brand strategy and related brand management issues.

  • Partner with Procurement and Commercial Legal to draft and negotiate marketing, branding and advertising agreements, including influencer agreements, sponsorship agreements, and agency agreements.

  • Oversee all aspects of WEX’s IP portfolio, including providing guidance on and supporting registration, prosecution, renewal, enforcement and managing litigation (in collaboration with the WEX’s in-house and outside litigation counsel) related to WEX’s trademarks, patents, copyrights and trade secrets.

  • Assist in the development of strategies and implementation of action plans for extracting value from the WEX’s IP portfolio and any new WEX inventions and/or innovations.

  • Foster awareness of, collaboration on and respect for the WEX’s IP portfolio and related strategies, policies and processes.

  • Conduct IP due diligence and provide legal advice for/on mergers, acquisitions, and other strategic transactions and engagements, including customer/partner and third-party vendor engagements.

  • Advise on IP issues related to marketing campaigns and content and product development.

  • Manage outside IP counsel to ensure that WEX’s IP portfolio is maintained properly, our IP rights are enforced aggressively to prevent infringement and protect our competitive advantage and all IP matters are handled efficiently and cost-effectively.

  • Maintain a current understanding of relevant laws, regulations, industry standards and policy trends relevant to WEX’s products and services, including those related to marketing, advertising, branding and IP. 

  • Collaborate closely within the WEX Legal Department to design, modify and implement company policies and processes to ensure legal compliance with internal policies, as well as applicable laws, rules and regulations.

  • Develop training materials and conduct training sessions for Marketing, Product and other business teams.

  • Handle other day-to-day legal issues arising in a growing and complex business.

Experience you'll bring:

  • Education: Juris Doctor (JD) degree from an accredited law school.

  • Licensure: Active membership in good standing with at least one state bar.

  • Experience: 5+ years of experience in the following areas: corporate transactional law involving marketing/advertising and Intellectual Property issues and considerations.

  • In-house legal experience.

  • Experience within the financial services, fintech or technology sector preferred.

  • Excellent communication (oral and written) and interpersonal skills.

  • Exceptional organizational skills, attention to detail, and the ability to multitask, prioritize, and adjust as priorities shift.

  • Strong reviewing and drafting skills; commitment to quality through demonstrated accuracy and thoroughness.

  • Ability to work independently, yet still be team-oriented and collaborative.

  • Ability to build strong internal relationships and to act as a legal resource for business and functional leaders globally.

  • Ability to apply strong problem-solving skills and excellent judgment to develop practical, business-oriented, and strategic solutions in a fast-paced environment.

  • Sound judgment; ability to clearly make reasoned recommendations; ability to anticipate risk and be proactive in planning and communicating accordingly, including determining who should be informed and engaged.

  • Proficiency in Microsoft Office and GSuite; ability to ramp up quickly on other applications and systems, including document management systems.

  • Must successfully pass a background investigation.

The base pay range represents the anticipated low and high end of the pay range for this position. Actual pay rates will vary and will be based on various factors, such as your qualifications, skills, competencies, and proficiency for the role. Base pay is one component of WEX's total compensation package. Most sales positions are eligible for commission under the terms of an applicable plan. Non-sales roles are typically eligible for a quarterly or annual bonus based on their role and applicable plan.
