Job Description:

The purpose of this role is to support the provision of proactive and strategic legal solutions for all activities of the investment management platform for Sun Life Asia business group. Additionally, the role involves assistng the senior legal investments team with the day-to-day management of the platform, including the maintaining awareness and commitments towards mitigating legal and reputational risks. This position directly reports to the Legal Counsel, Asia Investment Management. 

Major accountabilities

Legal Support 

  • Support the drafting and preparation of legal advice to stakeholders in relation to the investment management business, including legal research and the Regional Office generally

  • Collaborate with our Sun Life Asia investment management colleagues and other relevant Sun Life Asia business units with respect to matters that require legal input (such as review of standard contracts e.g. NDAs, intercompany agreements, vendor service contracts, markets account opening documents, product maintenance and related regulatory filings, general enquiries) 

  • Liaise and work with external counsel and the SFC (as necessary) 

Corporate support for AIM 

  • Assist on corporate secretarial matters for Sun Life Investment Management Asia Limited (“SLIMA”), including drafting agenda and board and shareholder resolutions/meeting minutes, in particular, a strong understanding of investment management fundamentals and infrastructure to enable minutes to be properly documented for regulatory purposes and to discharge the Board of Directors’ and MICs’ responsibilities under Hong Kong requirements

  • Prepare or co-ordinate with external counsel regulatory, governmental and other necessary filings to ensure SLIMA legal entity complies with all applicable laws and regulations; and maintain the statutory books

  • Work with global corporate secretarial team to ensure centralized records are updated in a timely manner 

Cross Border Matters

  • Collaborate with the in-house legal teams in the Asia region and globally on cross-border investment matters to ensure alignment and consistency with Sun Life Group’s and SLC requirements (e.g. reviewing and updating policies and procedures) 

On-going Monitoring 

  • Monitor changes to applicable laws and regulations that may impact Sun Life Asia’s investment management business and provide regular updates on applicable laws or industry and regulatory trends to the business 

Specialized knowledge and skills

  • Self-starter, open-minded and willingness to learn and ability to think out-of-the-box

  • Familiar with general contractual concepts and principles

  • Strong organizational, legal research and writing skills, ability to track and analyze laws and regulatory trends

  • Solutions-oriented and comfortable working with senior executives

  • Proficiency in written and spoken English essentialAdditional language skills would be advantageous but not a must

  • Able to identify legal issues and practically apply legal principles in a complex business environment, and escalate matters where necessary

  • Possess excellent analytical and problem solving skills in a fast paced, multi-jurisdictional regional support environment, e.g. to keep abreast of changing laws and regulations in Asia and assess the impact to existing or potential future business 

Education and experience

  • Law degree or equivalent, preferably in a Common Law jurisdiction (Hong Kong preferred) 

  • 3+ years of experience within an in-house legal team (ideally, an SFC licensed financial institution or asset manager) or at a reputable law firm (in the asset management or financial services practice preferred)
