Senior Legal Counsel – Corporate Governance & Compliance

We’re looking for a Senior Legal Counsel who will own corporate governance and compliance topics across the Group, support M&A and corporate structuring, and help the business navigate complex EU regulatory areas (e-commerce, data protection, IP/IT, corporate finance) with practical, business-friendly solutions.

• You’ll work on high-impact corporate governance matters in a fast-scaling European group.

• You’ll support M&A / investor / shareholder topics and help shape how we structure and run the Group.

• You’ll operate in a real international environment — multi-country, multi-jurisdiction, high autonomy.

• You’ll partner closely with leadership and key functions (Finance, HR, Ops, Tech) to keep the business compliant and moving.
  You’ll be trusted to solve problems independently — not just review documents.

You’ll be the go-to legal expert for corporate governance and corporate law topics, with broad exposure to group-wide projects and strategic work.

• Own and manage corporate governance agenda: board materials, governance filings, corporate records, internal governance frameworks

• Provide legal support on M&A, corporate finance and investor/shareholder matters (including shareholder agreements and related documentation)

• Support intragroup structuring and corporate matters across affiliates and subsidiaries

• Advise on EU regulatory topics relevant to Rohlik’s model (e-commerce regulation, data protection, IP/IT, commercial law)

• Draft, review and negotiate a range of commercial contracts when needed

• Manage legal projects end-to-end: align stakeholders, set timelines, drive execution, coordinate external counsel

• Identify risks early, remove roadblocks, and propose solutions that work in real life — not only on paper

• Master’s degree in Law (bar exam preferred)

• 5+ years of legal experience, with strong focus on corporate governance, corporate law and M&A (international exposure is a big plus)

• Working knowledge of EU legal environment: corporate/commercial law + familiarity with finance/regulatory/e-commerce/data protection/IP/IT topics

• Strong project ownership: you deliver high-quality work on time, with minimal escalation

• Clear communicator: you can explain legal risk and options in a business-friendly way

• Confident, pragmatic and solutions-driven mindset

• Fluent Czech and Advanced English required

• This role is offered as a fixed-term contract to cover parental leave.
